TERMS AND CONDITIONS
Welcome to CR7 Live in Cameroon exclusive for MTN users

1. GENERAL TERMS

Mobile Telephone Networks Cameroon Limited (“MTN”), whose registered office is located at 360 Rue Drouot, Akwa – P.O. Box 15574 Douala, registered under Commercial Reg. No RC/DLA/2000/B/025143, has created a quiz, tips, wallpapers and videos service (“the Service”) which is available through the short code 8701 and the portal website http://helm.tekmob.com/pim/encr7cmn.

2. TERMS OF USE AND CHANGES

By entering the website all Participants/visitors to the site accept the terms and conditions herein. MTN maintains the right to amend the current terms by publishing the amendments on the website.

3. RIGHT TO USE THE SERVICE

Only residents of the Republic of Cameroon, who are at least 18 (eighteen) years old, and are MTN subscribers can use the Service. Use of the web page by minors is forbidden. MTN will not be held responsible for any use by Participants who do not meet the above mentioned criteria.

MTN considers that each Participant is the legal owner of the SIM card through the number of which he/she is using the service. Otherwise, this Participant is liable to MTN or / and to the owner of the SIM card.

4. USE OF THE SERVICE

The Service is available through the short code 8701 and web and portal site http://helm.tekmob.com/pim/encr7cmn which gives access to mobile contents that the Participant can download and save on his/her mobile phone through the respective web site.

For someone to register for this Service, he/she must send “CR7” via SMS to the short code 8701 at a cost of 100 XAF. After sending the first SMS, the Participant of the Service can start navigating on the CR7 Prize Club Portal (the “Portal”) and be allowed full access to all available content from which to download content (Daily Renewal 100 XAF).

User will also be invited to participate in a Quiz SMS contest (50 XAF per SMS).

5. COST OF THE SERVICE

When an SMS is sent to 8701, the Participant shall automatically be subscribed to the Portal and be allowed full access to all available content. Subscription is charged at 100 XAF with a daily renewal charge of 100 XAF.

Sending SMS to 8701 is free, while receiving SMS from this short code is 50 XAF.

The cost of the service does not include Data charges (WAP GPRS or mobile internet) or the cost of accessing the web site. Browsing on the portal runs on normal data costs.

6. DURATION OF THE SERVICE

The Service will be available every day until MTN decides to terminate the Service whenever it considers such proper, by informing the Participants one (1) month before the termination date, without any further obligation towards the Participants. This is why all Participants are advised to download the mobile contents they have purchased frequently so as not to lose them (subscribers will be informed on the daily renewal to download their contents). After the termination of the Service, MTN bears no obligation towards Participants, for mobile contents they have purchased but have not downloaded at the date of termination.

7. PROTECTION OF PERSONAL INFORMATION

The Participants accept the creation of files by MTN of the personal information that they give out when using the web and portal sites. MTN will store the personal information by making use of security procedures and guaranteeing the best possible security and confidentiality for the Participants’ data.

The objectives for creating, maintaining and processing files of personal information of Participants are the following:

7.2. Providing the best possible Service to Participants;

7.3. Execution and support of MTN services;

7.4. Personal information collected;

7.5. MSISDN;

8. SERVICE

CR7 Live is a service where MTN Users can subscribe to have access to Cristiano Ronaldo™ contents and be able to participate in a CR7™ contest to win prizes.

All Cristiano Ronaldo™ (CR7™) contents will be available in a branded mobile portal, both for feature phones and smartphones with an HTML5 solution.

The contents available on the Portal will be text alerts, news, facts, official photos, and an aggregator of Social Media networks. The Portal will give access to news feeds showing the latest news, facts and posts from Cristiano Ronaldo™.

The CR7 Live Club shall be a subscription based club, which will entitle Users to win prizes based on their participations. All prizes shall be awarded on a skill base.

8.1. The name of the Service:

"CR7 Live"

8.2. Description:

When the user joins the CR7 Live Club he/she will be invited to participate in a CR7™ SMS contest. The SMS contest allows MTN Subscribers to participate to win prizes.

Once subscribed, the user can start navigating in the Portal having full access to all CR7™ contents, such as text alerts, news, facts, official photos, videos and more.

CR7™ SMS contest will be an SMS based contest, where Users can buy CR7™ TIPS (interesting facts about Cristiano Ronaldo™) by SMS, sending a specific keyword.

The Cristiano Ronaldo™ Tips are exclusively regarding Cristiano Ronaldo™, covering multiple aspects of his life such as football career, biography, personal achievements and others.

Every content will be in the format of a TIP with 160 (one hundred and sixty) characters.

Every Cristiano Ronaldo™ TIP bought will reward User with 100 (one hundred) points.

The CR7 Live Club service is open to all MTN subscribers nationwide.

8.3. Location:

Republic of Cameroon

8.4. Acceptance of Terms of Use and Registration:

a. All Participants warrant that they have read and fully understood these Terms and Conditions which are set out at http://helm.tekmob.com/pim/encr7cmn. By sending an SMS (at cost 50 XAF) to the short code 8701, the Participants will also register for the CR7 SMS contest. Participants agree:

- To receive SMS communication from MTN on their mobile phones relating to the Service;

- To receive SMS communication/advertising offers from MTN or from other companies that cooperate with MTN during the Service or after the end of it

b. MTN reserves the right to cancel or amend the Service, the offer and these Terms and Conditions at any time. Any changes will be posted online at http://helm.tekmob.com/pim/encr7cmn

c. In the event of dispute regarding the Service, these Terms and Conditions, conduct, results, and all other matters relating to the Service, the decision of MTN shall be final and binding

d. These Terms and Conditions will remain in full force and effect while MTN provides the offer (not taking into account temporary suspensions of the offer for operational reasons, e.g. for repairs, planned maintenance or upgrades)

8.5. Participants:

a. Only residents of the Republic of Cameroon, who are at least 18 (eighteen) years old are eligible to participate in the Service excluding employees (or members of the families or households of employees) of MTN and any company involved in the Service. MTN reserves the right not to award a prize (and to select an alternative winner) if it is aware or has reasonable grounds to believe that a winner is not eligible

b. MTN reserves the right to disqualify any entrant if it has reasonable grounds to believe the entrant has breached any provision of these Terms and Conditions

c. By participating in the Service, entrants hereby warrant that all information submitted is true, current and complete

d. All Winners will be contacted ONLY by an official MTN Line; under no circumstances will winners be contacted via SMS

8.6. Availability and accessibility of information and Drop-out mechanism

a. Information about the number of points scored by the Participants during the Service will be sent to the Participants in SMS messages automatically after receiving SMS message from MTN. The Participants may check their number of points at any time simply by sending the keyword “POINTS” via SMS to the Short Code 8701

b. Each Participant can drop out of the Service and stop receiving any information about it by sending an SMS with keyword “EXIT” to the Short Code 8701 free of charge. If after, the Participant chooses to send a new SMS message to the Short Codes, he/she will be again considered as a Participant in the Service

c. Each Participant can receive information for free regarding the Service by sending specific keywords to the free Short Code 8701. These keywords are:

- “HELP” – General information about the Service;

- “POINTS” – Information about the Participant’s total points;

- “EXIT” – Drop out from the Service

d. If the Service is terminated, MTN will publish in the official online resources of the Service i.e. http://helm.tekmob.com/pim/encr7cmn a message about the termination of the Service

e. Interruption or early termination of the Service shall not release MTN from its obligation to give out already awarded prizes and execute other actions required, except for the cases when termination or interruption of the Service was called by actions or events which are not under MTN’s control

f. MTN reserves the right not to enter into written negotiations or otherwise contact with the Participants of the Service other than in accordance with these Terms and Conditions or in accordance with the requirements of the current legislation of the Republic of Cameroon

8.7. How to participate in the Service, and the game mechanic:

a. Earning Points

Points are awarded to Participants every time they send an SMS to the short code 8701 pushing for new CR7™ Interesting Facts (TIP). Every CR7™ TIP will reward the user with 100 (one hundred) points

As for the Quiz, correct answers will be awarded in 200 points and incorrect answers will be awarded in 100 points. Every MO charged will give points to user (subscription keywords for existing subscribers, help and points does not give points while they are free)

On each successful renewal, Participants will receive 500 (four hundred) Points

b. Registration

To register, a Participant must send an SMS message to 8701 or access directly on the CR7 PRIZE CLUB Portal. Any SMS received from a Participant will be counted as a registration message, but Participants will be encouraged to enter with particular keywords e.g. “CR7”, “PLAY”, “WIN”, “YES”. In response to this first MO, the Participant will receive two (2) Messages back, introducing him/her to the campaign and another with the link to the Portal (for example to able Wi Fi users to navigate without any problems)

- Introduction message: greets the Participant, introduces the CR7™ title and prizes and encourage Users to start playing.

- Message with the link for the CR7 Portal to be accessed always when using Wi Fi.

c. SMS Contest

Following the registration interaction, and for every MO thereafter, the user will receive one MT in response to each MO that they send to the short code

9. PRIZES

a. All winners of the prizes will be considered the legal owners of the MTN SIM cards used for participation in the Service.

Daily Prize 1 - CR7 Replica Jersey

1 prize awarded every Monday, Wednesday and Friday to the user with the most points accumulated between 00:00:00 - 23:59:59 on each day

On Sundays there are no daily prizes since there is a weekly Prize

Daily Prize 2 - 75.000 XAF

1 prize awarded every Tuesday, Thursday and Saturday to the user with the most points accumulated between 00:00:00 - 23:59:59 on each day

On Sundays there are no daily prizes since there is a weekly Prize

Weekly Prize - 1.500.000 XAF

1 prize awarded every Sunday to the user with the most points accumulated between Monday 00:00:00 and Sunday 23:59:59 on each week

When the 3-Month prizes are awarded the Weekly Prize is not awarded

Quarterly Prize - 10.000.000 XAF

1 prize awarded every every 3 months (on Sundays) to the user with the most points accumulated between Day 1 at 00:00:00 and Day 91 at 23:59:59

Changes to the prize structure will be communicated to the subscribers as such

9.1. Winner selection

Participants in the CR7 Live Club will earn points in with every successful SMS sent to the short code 8701. All the winners will be determined based on their number of points

9.1.1. Daily Prize

For the Prizes awarded on the basis of Most Points, the selection of winners will be made as follows:

- Participants earn Points within the contest – for each successfully SMS charged, Participant shall win a certain amount of points

- To qualify for a daily prize, the Participant must send a valid entry within the time period for that day (i.e. they must send a valid entry between 00:00:00 and 23:59:59 of that particular day)

- Eligible Participants will be ranked in descending order according to the number of Points they have accumulated during that day

- If two (2) Participants have the same number of Points, the Participant who has more SMS entries is ranked higher and then the Participant who achieved his/her score first is ranked higher (these last 2 facts determines the winner).

- Points earned are carried through the contest summing for the total points of the contest. Points are reset every day for the daily counter, but continue to sum for the weekly and final counter

- Each Participant can only win type of 1 Daily prize (1 prize per MSISDN and personal ID)

9.1.2. Weekly Prize

The Weekly Prize is awarded on the basis of Most Points, the selection of winners will be made as follows:

- Participants earn Points within the contest – for each successfully charged SMS, Participant shall win a certain amount of points

- To qualify for a weekly prize, the Participant must send a valid entry within the time period (they must send a valid entry between Monday (00:00:00) and Sunday (23:59:59) of that particular week)

- Eligible Participants will be ranked in descending order according to the number of Points they have accumulated during that week

- If two (2) Participants have the same number of Points, the Participant who has more SMS entries is ranked higher and then the Participant who achieved his/her score first is ranked higher

- Points earned are carried through the contest summing for the total points of the contest. Points are reset every week for the weekly counter, but continue to sum for the final counter

- Each Participant can only win 1 type of Weekly prize (1 prize per MSISDN and personal ID)

9.1.3. Quarterly Prize

The Quarterly Prize is awarded on the basis of Most Points; the selection of winners will be made as follows:

- Participants earn Points within the contest – for each successfully charged SMS, Participant shall win a certain amount of points

- To qualify for the Quarterly prize, the Participant must send a valid entry within the time period (they must send a valid entry between the launch date, and 3 months after the launch date)

- Eligible Participants will be ranked in descending order according to the number of Points they have accumulated during that day

- If two (2) Participants have the same number of Points, the Participant who has more SMS entries is ranked higher and then the Participant who achieved his/her score first is ranked higher (these last 2 facts determines the winner)

MTN is responsible for handling the delivery processes of the Selection prizes

10. INTELLECTUAL PROPERTY RIGHTS

This Competition and the entire content of the web and Portal site are protected by Intellectual Property Rights that belong exclusively to MTN or to MTN suppliers and fall under national or international legislation. The service is made available to Participants exclusively for personal (not commercial) use. Any reproduction, copy, or saving in a different mobile device other than the initial device, transfer, publishing, change, distribution, transmission, publication, selling, translation, execution, modification in any way, reporting, release, or any other use of the content in any way or medium without the prior written consent of MTN, for commercial or other purposes, is explicitly forbidden

11. OBLIGATIONS OF PARTICIPANTS

Participants shall refrain from any illegal, unfair or improper use of the content of the Service and will endeavor not to do anything that can cause any damage or malfunction to the Service or to affect third parties, or adversely influence or jeopardize the provision of the Service

12. LIMITATION OF LIABILITY

a. MTN accepts no responsibility whatsoever for, including without limitation, any error, omission, interruption, defect, delay in operation or transmission, communications line failure when it is not under its direct control and execution

b. MTN reserves the right to whenever is deemed necessary temporarily suspend the Service for operational reasons (e.g. for repairs, planned maintenance or upgrades). MTN promises to restore the Service as soon as possible after any temporary suspension period

c. Prizes should be collected from a place to be confirmed by MTN

d. MTN advises Participants to use caution and common sense when participating in the Service at all times and to thoroughly read and understand these terms and conditions before doing so

13. DISCLAIMER OF WARRANTIES

a. Participants understand and agree that they participate in this Service at their own risk and willingness and have not been coerced in any manner to enter the Service

b. MTN makes no warranty, implied or express, that any part of the Service will be uninterrupted and error-free

c. Neither MTN nor any of its directors, employees, agents or suppliers shall accept any responsibility for any damage, loss, injury or disappointment suffered by any entrant participating in the Service or as a result of accepting the prize

d. MTN is not responsible for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers, or providers, computer equipment, software failure of any email or entry to be received on account of technical problems or traffic congestion on the Internet, telephone lines or at any web site, or any combination thereof, including any injury or damage to entrant's or any other person's computer or mobile telephone related to or resulting from participation or downloading any materials in the Service

e. By entering the Service, Participants agree that no claim relating to such losses or injuries (including special, indirect and consequential losses) shall be asserted against MTN, its parent companies, affiliates, directors, officers, employees or agents from any and all losses, damages, rights, claims and actions of any kind resulting from acceptance or participation of any prize, including without limitation, personal injuries, death and property damage

f. The Participant acknowledges that participation in the Service and contest implies an express acceptance of all terms and conditions provisioned herein and that no complaint or objections shall be entertained regarding these general Terms and Conditions. Furthermore any eventual complaints regarding the Service and/or contest shall only be entertained by MTN if such complaints are made within a 30 (thirty) days period from the date in which the reason for said complaint has occurred. Any complaints regarding events over the 30 (thirty) days period shall not be answered

14. DATA PROTECTION AND PUBLICITY

a. Personal data related to voice, image, name or address and any other relevant information, will be included in a filing system belonging to MTN as data controller, and can be used for taking part in the Service as well as publicity purposes, or other purposes relating to MTN’s services, unless otherwise indicated. The Participants also consent that MTN can use any profiling information given or any statistics that may be obtained through the Service and/or contest regarding the profiling information for reasonable purposes according to the law

b. MTN will use such data in a confidential manner and Participants can exercise their rights of access, rectification, delete and objection to prior consent for sending publicly through a written communication addressed to MTN or phoning the number “8787” to contact MTN’s call center

c. Participants agree that if they win a prize then their name and the first 7 (seven) digits of their subscriber mobile phone number will be published for informational and publicity purposes only

15. FORCE MAJEURE

Force Majeure means any circumstance reasonably beyond the control of the Parties, including but not limited to:

- war and other hostilities, (whether war be declared or not), invasion, act of foreign enemies, mobilization, failure of the Internet, requisition or embargo;

- ionizing radiation or contamination by radio-activity from any nuclear fuel or from any nuclear waste from the combustion of nuclear fuel, radio-active toxic explosives, or other hazardous properties of any explosive nuclear assembly or nuclear components thereof;

- rebellion, revolution, insurrection, military or usurped power and civil war;

- Riot, commotion or disorder

MTN shall not be considered in default or in breach of these Terms and Conditions to the extent that performance is prevented by any circumstances of Force Majeure

If MTN considers that any circumstances of Force Majeure have occurred which may affect performance it shall promptly notify the Participants thereof

16. GOVERNING LAW

Cameroon law will govern the Service. Any complaints relating to the Service should be initially presented to MTN who shall endeavor to resolve matters amicably. Any disputes that may arise will be subjected to the exclusive jurisdiction of the Courts of Cameroon
